Confidentiality Agreement

This Confidentiality Agreement ("Agreement") is made and entered into as of the date this report is submitted ("Effective Date") by and between Sheq Safety, having its principal place of business at [Address] ("The Organization"), and [Recipient Name/Department Handling Reports] ("Recipient"), to ensure the confidentiality, protection, and non-retaliation of whistleblower reports.


1. Purpose

The purpose of this Agreement is to protect the confidentiality and integrity of information disclosed through the whistleblower mechanism and to ensure the whistleblower's identity and provided information are handled securely and responsibly.


2. Definition of Confidential Information

For the purpose of this Agreement, "Confidential Information" refers to all reports, statements, documents, or evidence disclosed by the whistleblower, including but not limited to:

  • Personal identifiers of the whistleblower (if provided).
  • Details of incidents, breaches, or non-compliance reported.
  • Supporting documents or evidence accompanying the report.

3. Obligations of the Recipient

The Recipient agrees to:

  1. Maintain Confidentiality: Protect and keep all Confidential Information secure and private, using it solely for purposes of investigation and resolution.
  2. Restrict Access: Limit access to Confidential Information to authorized personnel directly involved in the investigative process.
  3. Avoid Disclosure: Not disclose Confidential Information to any unauthorized individuals, organizations, or entities without prior written consent.
  4. Anonymity Assurance: Ensure that the identity of the whistleblower is kept anonymous unless the whistleblower consents to disclosure or disclosure is required by law.
  5. Secure Handling: Implement safeguards to prevent accidental loss, unauthorized access, or misuse of Confidential Information.

4. Non-Retaliation

The Recipient agrees that no action will be taken to retaliate, discriminate, or take adverse actions against the whistleblower for filing a report in good faith, even if the investigation does not substantiate the report.


5. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly known through no fault of the Recipient.
  • Was independently developed by the Recipient without use of the whistleblower's information.
  • Is disclosed pursuant to any applicable law, regulation, or valid legal process, provided that the whistleblower is notified (if permissible) before such disclosure.

6. Term and Termination

This Agreement is effective as of the date this report is submitted and will remain in effect indefinitely or until terminated in writing by both parties. Termination will not release the Recipient from obligations related to Confidential Information obtained prior to termination.


7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], and any disputes shall be resolved in [Court/Legal Venue].


8. Acknowledgment and Agreement

By submitting this form, the whistleblower acknowledges that they have read and understood this Confidentiality Agreement.
